CONSULTANT PAYMENT TERMS AND CONDITIONS
PAYMENT OF CONSULTANT SUBSCRIPTION AND INITIAL WEBSITE BILLING PAYMENT
Ambit Marketing Canada, ULC (“Ambit Marketing Canada”) requires that
anyone who choose to become an Independent Consultant pay an initial enrollment
fee and pay the first month of their website service, in advance. Consultants must
use Ambit Marketing Canada’s online payment service to make these one-time payments
via credit or debit card.
Credit or debit card payments
will be authorized immediately to complete your registration process and will
be applied to your account within twenty-four (24) hours.
PAYMENTS PROGRAM FOR MONTHLY WEBSITE BILLING
Canada utilizes an automated and easy way for its Independent Consultants to
make their monthly website billing payments under our PreAuthorized Payments
program (“PreAuthorized Payments”).

Conditions. You agree that we may share information with third payment
processors and understand such parties will be allowed to use your information
as necessary to assist Ambit Marketing Canada in providing the program to you.
“Payment Account” refers to the source used for your online payment.

PAYMENTS VIA CREDIT OR DEBIT CARD
Payments made with a credit or debit card, transactions will be initiated on or
about two (2) days in advance of the due date of your monthly website billing
amount that will be processed each month via the PreAuthorized Payments program
will include all monies due and payable on your account at the time of the
credit or debit card transaction. Any payment made will be applied to your
account within twenty-four (24) hours of the actual charge date.
A PREAUTHORIZED PAYMENT
You may cancel a PreAuthorized Payment that has been scheduled but has
not yet begun processing according to the timeframe below by calling Consultant
Support at (877) 282-6248, Monday through Friday from 8:00 a.m. to 6:00 p.m.
and Saturday from 10:00 a.m. to 5:00 p.m. (CT). There is no charge from Ambit
Marketing Canada for cancelling a PreAuthorized Payment that has not yet begun processing.
PreAuthorized Payments can only be cancelled up to three (3) business
days in advance of the due date.
Once we have begun processing a payment, it cannot be cancelled through
Ambit Marketing Canada. In such case, you must submit a request to your credit
card issuer. You are responsible for making alternate payment arrangements for
your personal website after the payment process has been initiated or your personal
website may be cancelled for non-payment.
CHANGES TO OR CANCELLATION OF YOUR PREAUTHORIZED PAYMENT INSTRUCTIONS
You may discontinue your participation
in our PreAuthorized Payments program by telephone by calling our Consultant
Support desk at (877) 282-6248 or in writing by sending a letter to Ambit
Marketing Canada, Attention: Consultant Support, Suite
#405, 8015 Roper Rd NW, Edmonton, AB T6E 6S4. Your cancellation
request must be received by Ambit Marketing Canada at least fifteen (15)
business days before the next scheduled date of your credit or debit card
charge to guarantee the cancellation is completed in time to stop your upcoming
payment from processing.
To change your Payment Account
information, you may do so by entering new account details online in PowerZone
or by calling Consultant Support at (877) 282-6248. Online notice of a change
to your credit or debit card information must be received by Ambit Marketing
Canada at least fifteen (15) business days before the next scheduled date of
your credit or debit card charge to guarantee the change is completed in time
to stop your upcoming payment from processing using the previously subscribed
ONLINE CREDIT CARD PAYMENTS FOR ONE TIME PAYMENTS
Consultants can also purchase items from our online store and can register
for Ambit Marketing Canada events with one-time, credit and debit card payments.
These payments will be subject to these terms and conditions in addition to terms
and conditions of the Ambit Store or the specific event. Please note that
registration payments for certain Ambit-sponsored events may be non-refundable.
One-time credit card payments will be reflected on your Consultant account
within twenty-four (24) hours.
CANCELLATION OF CONSULTANT’S PERSONAL WEBSITE DUE TO
Consultants who cancel their PreAuthorized
Payments participation or who do not provide Ambit Marketing Canada with a
valid Payment Account will have their personal website cancelled effective
immediately following the payment due date.
Consultants without an active website
will be unable to enroll additional Independent Consultants or customers online
and will not have access to all the services and information available through

REPRESENTATIONS FOR PREAUTHORIZED PAYMENTS
By initiating a one-time payment or registering in our PreAuthorized
Payments program (with a credit or debit card), you represent, warrant and
certify that (i) you are at least 20 years of age; (ii) you are an active or
pending Ambit Marketing Canada Consultant; (iii) you authorize Ambit Marketing
Canada to follow the payment instructions that we receive from you; (iv) any
Payment Account you add to your profile is an account from which you are
authorized to make payments; (v) any payment you make using the online payment
program will debit a Payment Account that you are legally authorized to use;
(vi) you authorize Ambit Marketing Canada to debit or charge your Payment
Account and remit funds on your behalf so that the funds can be applied to your
account; (vii) you authorize Ambit Marketing Canada to credit your Payment
Account for payments returned for any reason; and (viii) your participation in
the online payment program does not violate any laws or regulations.
To process payments more efficiently and effectively through the
banking network, we may edit or alter payment data or data formats. However, Ambit
Marketing Canada shall incur no liability if we are unable to complete any
payments initiated by you because of the existence of any one or more of the

the transaction or the transaction would exceed the credit limit of your
2. The payment processing center is not working properly and you know
or have been advised about the malfunction before you execute the transaction;
3. You have not provided Ambit Marketing Canada with the correct
Payment Account or contact information; and/or
4. Circumstances beyond Ambit Marketing Canada’s control (such as, but
not limited to, fire, flood, or interference from an outside force) prevent the
proper execution of the transaction.
Provided none of the foregoing exceptions are applicable, if an
incorrect amount of funds is debited from/charged to your Payment Account, Ambit
Marketing Canada shall be responsible for returning the improperly debited/charged
funds to your Payment Account, and, if applicable, for any late payment related
By using our one-time payment processing or the PreAuthorized Payments program,
you are requesting Ambit Marketing Canada to make payments for you from your
Payment Account. If we are unable to complete the transaction for any reason
associated with your Payment Account (for example, there are insufficient funds
in your Payment Account to cover the transaction or your credit limit would be
exceeded), the transaction will not be completed.
In some instances, you will receive a return notice from us. In such
case, you agree that:
1. You will reimburse Ambit Marketing Canada immediately upon demand
for the transaction amount that has been returned to Ambit Marketing Canada;
2. You will be responsible for any charges due under your Independent

4. You will reimburse Ambit Marketing Canada for any fees it incurs in
attempting to collect the amount of the returned transaction from you.
Returned payments from banks for insufficient funds or any other reason
may result in a charge to you of $25.00 or a higher amount depending on what
the applicable financial institution charges with respect to such returned

Payments program is solely at your own risk. Ambit Marketing Canada attempts to
maintain the confidentiality of your personal information. Ambit Marketing
Canada will not be responsible for any security breach of your personal
information or loss resulting from a third party or a cause over which we do
not have direct control, including, but not limited to, unauthorized access,
failure of communication lines, and natural disasters. Ambit Marketing Canada
reserves the right to view, monitor and record activity on the online payment
program without notice to you. Please see our

CHANGES TO THESE
TERMS AND CONDITIONS
Ambit Marketing Canada reserves the right to change these Terms and
Conditions from time to time and will provide notice to you of changes as they
occur. You agree to the changes to the Terms and Conditions if you use one-time
payment processing or the PreAuthorized Payments program after you receive
notice of such changes.
Ambit Marketing Canada may terminate or suspend online
payment processing or the PreAuthorized Payments program at any time for any
reason with written notice to you. No change or cancellation of the program
will affect your obligations under these Terms and Conditions.
OTHER TERMS AND
These Terms and Conditions are in addition to any other terms and
conditions or authorizations governing the Agreement(s) pursuant to which Ambit
Marketing Canada provides you services.
